1. Agreement to Terms

By accessing or using the Booky AI website (bookyai.co.uk) and platform (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and our Refund Policy. If you do not agree with any part of these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Booky AI Ltd ("Booky AI," "we," "our," or "us").

2. Description of Service

Booky AI is a cloud-based SaaS platform that provides AI-powered booking management, lead management, automated voice calling, SMS campaigns, invoicing, and scheduling tools for service-oriented businesses. Features include but are not limited to:

• AI-powered receptionist and voice agent for automated phone calls
• SMS-based lead follow-up and campaign management
• Online booking and appointment scheduling
• Google Calendar two-way synchronisation
• Invoice and quotation generation
• Business analytics and reporting

3. User Accounts

3.1 Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You may register using an email and password or via Google OAuth sign-in. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss resulting from unauthorised access to your account.

3.3 Account Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Free Trial

4.1 Trial Period

We offer a 14-day free trial that provides access to the platform's features with limited usage allowances. No credit card is required to start a free trial.

4.2 Trial Limitations

During the free trial, your usage is subject to reduced limits on call minutes and SMS messages as specified in the trial plan. These limits are lower than those provided on paid subscription plans.

4.3 One Trial Per Business

Each business account is eligible for one free trial only. Creating multiple accounts to obtain additional trial periods is a violation of these Terms and may result in account termination.

4.4 Trial Expiration

At the end of the trial period, your access to paid features will be suspended until you subscribe to a paid plan. Your data will be retained for 30 days after trial expiration to allow you time to subscribe.

5. Subscriptions and Payments

5.1 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually) depending on the plan you select. All payments are processed securely through Lemon Squeezy.

5.2 Usage Limits

Each subscription plan includes specific limits on call minutes and SMS messages per billing period. Usage beyond these limits will result in the relevant feature being temporarily unavailable until the next billing cycle begins. We do not charge overage fees.

5.3 Price Changes

We reserve the right to modify subscription pricing. Any price change will take effect at the start of your next billing cycle. We will provide at least 30 days' advance notice of price changes via email.

5.4 Refunds

Refunds are governed by our Refund Policy. Please review it carefully before making a purchase.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Send unsolicited or spam communications (SMS or voice calls) to individuals who have not consented to receive them
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity
• Transmit harmful code, viruses, or malware through the platform
• Attempt to gain unauthorised access to other users' accounts, our systems, or our infrastructure
• Use the AI agent or voice calling features for harassment, threats, or illegal solicitation
• Exceed or circumvent usage limits through automated means, multiple accounts, or other methods
• Resell or redistribute access to the Service without our written consent

Violation of these rules may result in immediate suspension or termination of your account without refund.

7. Intellectual Property

7.1 Our Property

The Service — including its design, code, features, AI models, branding, and documentation — is the exclusive property of Booky AI Ltd and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of all data, content, and business information you upload or create within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to process, store, and display Your Content solely for the purpose of providing and improving the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation.

8. Third-Party Integrations

The Service integrates with third-party services including Google (OAuth, Calendar), Twilio (SMS, voice), Retell AI (voice agent), and Lemon Squeezy (billing). Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Service Availability and Modifications

9.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice.

9.2 Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. Material changes will be communicated to active subscribers via email or in-app notification.

10. Termination

10.1 By You

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. After that, your account will be downgraded and your data retained for 90 days before permanent deletion.

10.2 By Us

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, engage in prohibited conduct, or if required to do so by law. Upon termination for cause, no refund will be provided.

11. Limitation of Liability

To the maximum extent permitted by law, Booky AI Ltd, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising from:

• Your use of or inability to use the Service
• Any unauthorised access to or alteration of your data
• Conduct of any third party on the Service
• Downtime, errors, or interruptions in the Service

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Booky AI Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
